Partner Agreement

These Partner General Terms (“Agreement”) govern the relationship between LaResto OÜ, a company registered in the Republic of Estonia (“LaResto”, “we”, or “us”), and the business entity registering as a partner on the LaResto platform (“Partner”, “you”, or “your”).

By completing the registration process in the LaResto Partners application and accepting these terms, you enter into a binding agreement with LaResto OÜ.

2. Role of LaResto

LaResto operates as a technology platform that connects Customers with hospitality businesses. LaResto acts solely as a provider of an information society service within the meaning of Directive (EU) 2015/1535.

LaResto is not a party to the sale agreement between the Partner and the Customer. The contractual relationship for the supply of food, beverages, or services exists directly between the Partner and the Customer. LaResto facilitates this transaction but does not assume any liability for the quality, safety, or legality of the products or services offered by the Partner.

3. Registration and Onboarding

3.1 Account Creation

To become a Partner, you must:

  1. Download the LaResto Partners application and create an account.
  2. Register your Business by providing accurate and complete information, including legal name, registration number, tax identification number, and registered address.
  3. Complete identity and business verification (Know Your Customer) through our payment processing partner, Stripe.
  4. Register at least one Venue with accurate details (name, address, operating hours, type).
  5. Accept these Partner General Terms.

3.2 Verification

Your Business must complete the verification process before becoming visible to Customers on the Platform. You may set up your Venues, menus, and account details while verification is in progress. LaResto reserves the right to suspend or reject a Business that fails verification requirements.

3.3 Accuracy of Information

You are responsible for ensuring that all information provided during registration and throughout your use of the Platform is accurate, current, and complete. This includes Business details, Venue information, operating hours, menu items, prices, and allergen information.

4. Partner Obligations

As a Partner, you agree to:

  1. Maintain valid business registration and all permits and licenses required to operate your Venue(s) under applicable law.
  2. Comply with all applicable food safety, hygiene, and health regulations.
  3. Ensure that menu information (including descriptions, prices, allergens, and availability) is accurate and up to date at all times.
  4. Process and fulfill Orders promptly and in accordance with the information displayed on the Platform.
  5. Maintain reasonable quality standards in the preparation and service of orders.
  6. Notify LaResto promptly of any changes to your Business or Venue information, operating hours, or availability.
  7. Not engage in any fraudulent, misleading, or deceptive practices on the Platform.
  8. Not use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.

5. Commission and Fees

5.1 Commission Model

LaResto operates on a pure commission model. There are no monthly subscription fees, setup fees, or minimum commitments. You pay only when you receive orders through the Platform.

5.2 Two-Sided Fee Structure

Each Order processed through the Platform is subject to two separate fees:

  1. Partner Commission — A percentage of the Order value, deducted from the Partner’s payout. For example, if the commission rate is 16% on a €40 order, €6.40 is deducted from the Partner’s payout and the Partner receives €33.60 (before payment processing fees).
  2. Customer Service Fee — A separate fee charged to the Customer at checkout, displayed as a distinct line item on top of the Order total. This fee is paid by the Customer, collected by LaResto, and is not deducted from the Partner’s payout. For example, if the service fee rate is 8% on a €40 order, the Customer pays €43.20 total (€40 food + €3.20 service fee).

5.3 Commission Rates

Commission rates are determined based on:

Your specific commission rates are presented during the Venue registration process and are always visible in the Partner Dashboard. By completing registration, you acknowledge and accept the rates applicable to your Venue(s).

Minimum floors: The minimum Partner commission rate is 5% of the Order value. The minimum Customer service fee is 1.5% of the Order value. LaResto may not set rates below these floors.

5.4 Fee Absorption

Partners may opt to absorb the Customer service fee. When this option is enabled, the Customer sees no separate service fee at checkout. Instead, the Partner pays the combined commission plus service fee amount, which is deducted from the Partner’s payout. This option can be toggled at any time from the Partner Dashboard.

5.5 Rate Changes

LaResto may adjust commission rates or service fee rates with at least 30 days’ prior written notice to the Partner. The Partner will be notified via the Partners application and email. If the Partner does not agree to the new rates, the Partner may terminate this Agreement in accordance with Section 11.

5.6 Payment Processing Fees

Payment processing is handled by Stripe. Processing fees charged by Stripe (card processing fees and payout fees) are deducted from the Partner’s payout and are separate from LaResto’s commission. Current Stripe processing fees are available at stripe.com/pricing.

6. Payments and Payouts

6.1 Payment Processing

All Customer payments are processed through Stripe Connect. By registering as a Partner, you agree to create and maintain a Stripe Connected Account and comply with Stripe’s Connected Account Agreement.

6.2 Payout Schedule

Payouts are transferred to your registered bank account on a rolling basis. New accounts receive payouts approximately 7 business days after the transaction (T+7). After establishing a payment history, the payout schedule may be shortened to approximately 2 business days (T+2), subject to Stripe’s policies.

6.3 Bank Accounts

You may register up to 5 bank accounts per currency for payout routing. You are responsible for providing accurate banking details. LaResto is not liable for payouts sent to incorrect bank accounts provided by the Partner.

7. Refunds and Disputes

7.1 Partner-Fault Refunds

If a refund is issued to a Customer due to an error or fault of the Partner (incorrect order, quality issues, unavailable items, failure to fulfill), the refund amount is deducted from the Partner’s payout.

7.2 Platform-Fault Refunds

If a refund is issued due to a technical error or failure of the Platform, the Partner is not responsible for the refund amount.

7.3 Dispute Resolution

In the event of a dispute regarding a refund or Order, LaResto will review the circumstances and notify both parties of the outcome. The Partner may appeal any decision by contacting support@laresto.com.

8. Content and Intellectual Property

8.1 Partner Content

You retain ownership of all content you provide to the Platform, including menu descriptions, photographs, logos, and Venue information (“Partner Content”). By uploading Partner Content, you grant LaResto a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating and promoting the Platform and your Venue(s) on the Platform.

8.2 LaResto Intellectual Property

The LaResto name, logos, trademarks, software, and platform design are the intellectual property of LaResto OÜ. The Partner may not use LaResto’s intellectual property without prior written consent, except for displaying “Available on LaResto” or similar approved materials at the Venue.

8.3 QR Codes and Materials

LaResto may provide QR codes and promotional materials for use at the Partner’s Venue(s). These materials remain the property of LaResto and must be returned or destroyed upon termination of this Agreement.

9. Data Protection and Privacy

9.1 Data Controller Roles

For the purposes of the General Data Protection Regulation (GDPR):

Both parties shall implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction, in accordance with GDPR Article 32.

9.4 Privacy Policy

The processing of personal data is further governed by the LaResto Privacy Policy.

10. Liability

10.1 Platform Availability

LaResto shall use commercially reasonable efforts to ensure the Platform is available and operational. However, LaResto does not guarantee uninterrupted availability and is not liable for temporary outages due to maintenance, technical issues, or events beyond reasonable control.

10.2 Partner Liability

The Partner is solely responsible for:

To the maximum extent permitted by applicable law, LaResto’s total aggregate liability to the Partner under this Agreement shall not exceed the total commission fees paid by the Partner to LaResto in the 12 months preceding the event giving rise to the claim. LaResto shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10.4 Indemnification

The Partner agrees to indemnify and hold harmless LaResto OÜ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from the Partner’s breach of this Agreement, the Partner’s products or services, or the Partner’s violation of applicable law.

11. Term and Termination

This Agreement enters into force upon the Partner’s acceptance during registration and remains in effect until terminated by either party.

Either party may terminate this Agreement at any time, for any reason, by providing written notice. Termination takes effect:

12. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with this Agreement, including business plans, financial information, commission rates, and technical details. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

13. General Provisions

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising from this Agreement shall be submitted to the Harju County Court (Harju Maakohus) in Tallinn, Estonia.

13.2 Amendments

LaResto may amend these terms with at least 30 days’ prior written notice. The Partner will be notified via the Partners application and email. Continued use of the Platform after the effective date of the amendment constitutes acceptance. If the Partner does not agree to the amended terms, the Partner may terminate this Agreement in accordance with Section 11.

13.3 Assignment

The Partner may not assign or transfer this Agreement without LaResto’s prior written consent. LaResto may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

13.4 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.5 Entire Agreement

This Agreement, together with the Privacy Policy and Terms & Conditions, constitutes the entire agreement between the parties regarding the subject matter hereof.

13.6 Language

This Agreement is drafted in English. In the event of any conflict between translated versions and the English version, the English version shall prevail.
